Acted as Scots counsel to a manufacturer of microchips and other technology as borrower under a £50,000,000 facility agreement with a multinational banking & financial services corporation

The funding was used to complete the acquisition of a Scottish microchip manufacturing business.

Brodies led on all Scots law aspects of the transaction, including providing advice on the impact of the National Security and Investment Act 2021 on share security in Scotland. This new legislation was drastically altering the landscape of securing shares in Scotland and the Brodies team was at the forefront of creating and developing what is becoming new market practice on transactions where the legislation applies.
