Advising on the sale of Complete Energy Controls, Scotland's leading building management systems (BMS) and remote energy management provider, to learnd Limited.

Complete Energy Controls Ltd (CEC) provides a fully integrated suite of building controls and remote management solutions. It works in partnership with its customers to help reduce carbon emissions and improve environmental sustainability.

Brodies advised CEC's shareholders on the sale to learnd Limited who acquired CEC as part of its ongoing expansion strategy. learnd Limited already manages 1 in 20 large non-residential buildings in the UK and are working to become the most relevant energy management company in Europe.

• With many moving parts to the deal and multiple shareholders, Brodies managed all elements of this cross-border project to deliver it to a successful conclusion.
• The acquiring parent was a Frankfurt listed company registered in Luxembourg. Brodies deployed its international network of trusted contacts and advisors to provide and co-ordinate advice in all required jurisdictions and on all overseas elements of the deal.

Outcome

Brodies collaborated with the management and shareholders of CEC to deliver a successful transaction involving many complex issues and against a demanding timetable, including co-ordinating the input of various third-party advisors who were required to finalise the deal.

The acquisition of CEC by learnd Limited is the next step on a growth story that saw learnd SE successfully list on the Frankfurt exchange in January 2023. CEC adds significant energy capacity as well as vast remote and in-field engineering capability that will enhance learnd's position in the market.
