Brodies supported Insight Enterprises, Inc, headquartered in Arizona, on amendments to its existing facilities, advising on matters relating to UK law and co-ordinating counsel and specialist advice across Insight's EMEA locations.
Working alongside Insight’s in-house legal team, Skadden, Arps, Slate, Meagher & Flom LLP in Los Angeles, Baker McKenzie in Sydney, Lavery de Billy LLP in Quebec, Torys LLP in Ontario, and Snell & Wilmer LLP in Arizona, Brodies LLP led the UK aspects of the transaction and was appointed to co-ordinate local counsel in Ireland, the Netherlands, and Belgium.
The amendments to the facilities are an integral component in enabling Insight to achieve its strategic goals in the near future and were required to be put in place within a particularly challenging timeframe. The transaction involved amending and extending existing asset-backed facilities and granting supplemental or confirming existing, security agreements. The transaction was particularly challenging given the number of jurisdictions involved and the level of co-ordination required between different legal teams and time zones around the globe.
Brodies facilitated the execution of the transaction by liaising closely with Insight’s in-house counsel and Skadden, and by acting as lead counsel and first point of contact for the relevant jurisdictions in EMEA. Brodies played a key part in signing logistics through the implementation of qualified electronic signatures – very fitting for a global company focussed on technological innovation.
